Terms of Service

These Terms of Service constitute a legally binding agreement between you and Tactical Edge AI, LLC, governing your access to and use of the Monitory platform, website, and related services. By accessing or using the Service, you agree to be bound by these Terms.
1. Eligibility & Account Registration
You must be at least 18 years old and have the legal authority to enter into these Terms on behalf of yourself or the organization you represent. When creating an account you agree to provide accurate, current, and complete information and to maintain the security of your credentials.
2. License Grant
Subject to your compliance with these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes during the subscription term.
3. Acceptable Use
You agree not to:
Reverse-engineer, decompile, or disassemble any part of the Service
Use the Service to develop a competing product or service
Transmit malicious code, interfere with the Service's operation, or attempt to gain unauthorized access to our systems
Share your account credentials with unauthorized third parties
Use the Service in any manner that violates applicable laws or regulations
4. Customer Data
You retain all rights to the data you submit to the Service ("Customer Data"). You grant us a limited license to use Customer Data solely to provide, maintain, and improve the Service. We will not sell your Customer Data to third parties. Our handling of personal data is described in our Privacy Policy. Privacy Policy
5. Fees & Payment
Fees for the Service are set forth in the applicable order form or subscription plan. All fees are non-refundable unless otherwise stated. We may update pricing upon renewal with at least 30 days' notice. Late payments may incur interest at the lesser of 1.5% per month or the maximum rate permitted by law.
6. Subscription Term & Termination
Your subscription begins on the start date specified in your order and renews automatically for successive periods of the same duration unless either party provides written notice of non-renewal at least 30 days before the end of the current term.
Either party may terminate these Terms immediately upon written notice if the other party materially breaches these Terms and fails to cure the breach within 30 days of receiving notice. Upon termination, your access to the Service will cease and we will make your Customer Data available for export for 30 days.
7. Intellectual Property
The Service, including all software, algorithms, models, designs, documentation, and trademarks, is the exclusive property of Tactical Edge AI, LLC. Nothing in these Terms grants you any ownership rights in the Service.
8. Confidentiality
Each party agrees to protect the other's confidential information with the same degree of care it uses for its own confidential information, but no less than reasonable care. Confidential information excludes information that is publicly available, independently developed, or rightfully received from a third party without restriction.
9. Warranties & Disclaimers
We warrant that the Service will perform materially in accordance with its documentation during the subscription term.
EXCEPT AS EXPRESSLY STATED, THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITY, REGARDLESS OF THE CAUSE OF ACTION. OUR TOTAL AGGREGATE LIABILITY UNDER THESE TERMS WILL NOT EXCEED THE FEES PAID BY YOU DURING THE 12 MONTHS PRECEDING THE CLAIM.
11. Indemnification
You agree to indemnify and hold us harmless from claims arising from your use of the Service, your Customer Data, or your violation of these Terms. We will indemnify you against third-party claims alleging that the Service infringes a valid patent, copyright, or trademark.
12. Governing Law & Dispute Resolution
These Terms are governed by the laws of the State of Delaware without regard to conflict-of-law principles. Any dispute arising from these Terms shall be resolved through binding arbitration administered by the American Arbitration Association in accordance with its Commercial Arbitration Rules.
13. Modifications
We may update these Terms from time to time. We will notify you of material changes at least 30 days in advance via email or in-product notice. Your continued use of the Service after changes become effective constitutes acceptance.
14. General Provisions
These Terms, together with any order forms and the Privacy Policy, constitute the entire agreement between you and Tactical Edge AI, LLC regarding the Service. If any provision is found unenforceable, the remaining provisions will continue in effect. Our failure to enforce any right does not constitute a waiver.
